Joint resolution authorizing an Operations Transfer Agreement (OTA) with Transitional Care Management (TCM), Rosemont, Illinois, for the Lease and Replacement of Winchester House.
Staff Summary
* Following the recommended approval of a contract for the lease and replacement of Winchester House an OTA is required for the orderly transition of the management and operations of the facility.
* Lake County has negotiated an OTA with the recommended vendor TCM, Rosemont, Illinois, to outline the necessary documentation and procedural requirements necessary to transfer the management of the operations of the facility.
* The OTA provides for a 90 day timeframe from the execution of the lease document and the initial start date of the management and operations of the facility to complete the transfer.
* It is recommended that the Purchasing Agent be hereby authorized and directed to execute the OTA upon execution of the lease.
* The Winchester House Advisory Board unanimously recommended approval of the OTA at its April 20, 2015 meeting.

RESOLUTION
WHEREAS, Lake County has continuously operated a facility for the underprivileged and the elderly at the County's Libertyville location since 1847; and
WHEREAS, upon a recommendation from the Winchester House Advisory Board, the County Board directed staff to issue a Request for Proposal to solicit proposals from qualified entities in the private sector to lease the existing Winchester House facility, to become the licensee, and to provide for a replacement facility by the end of the term of the lease; and
WHEREAS, part of the Illinois Counties Code, 55 Ill. Comp. Stat. ? 5/5-21001, allows for Lake County to sell, dispose of or lease for any term, a nursing home in such manner and upon such terms as it deems best for the interest of Lake County; and
WHEREAS, in accordance with Section 5-102 of the Lake County Purchasing
Ordinance, Request for Proposals were published; and
